1. Acceptance of Terms

By downloading, installing, or using any Quantiya product ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Quantiya LLC ("Quantiya," "we," "our," or "us").

2a. Description of Service — Translate

Quantiya Translate is a multilingual messaging platform that enables conversations between users speaking different languages. The App provides:

• Persistent contacts via QR code or invite code
• 1:1 and group chat conversations (up to 5 participants)
• AI-powered text message translation
• Voice messages with translated playback
• Push notifications and delivery/read receipts
• Message history (7 days free, permanent with Pro)

2b. Description of Service — CodeVibe

CodeVibe is a companion app that enables you to control AI coding agents (such as Claude Code, Gemini CLI, and Codex CLI) running on your desktop from your phone. Works on Mac, Windows, and Linux. The App provides:

• Real-time session monitoring and control
• Sending prompts to AI coding agents from mobile
• Reviewing and approving/denying file changes remotely
• Full-screen code diff viewer
• Voice input with live transcription
• Image attachments for visual context
• Push notifications for approval requests
• End-to-end encryption for all session content

3. Eligibility

Our apps are rated 4+ and are suitable for all ages. However, parental consent is required for children under 13 years of age in compliance with COPPA.

By using our apps, you represent and warrant that:

• If you are a parent/guardian of a child under 13, you consent to your child's use and agree to these Terms on their behalf
• You have the authority to enter into these Terms
• You will comply with all applicable laws and regulations

4. Account Registration

4.1 Account Creation

To use our apps, you must create an account by signing in with Apple Sign In or Google Sign In. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use
• Accept responsibility for all activities under your account

4.2 Account Deletion

You may delete your account at any time through the app settings. Upon deletion:

• Your account is soft-deleted for 30 days to prevent abuse
• After 30 days, personal information is permanently deleted (except subscription records retained for legal compliance)

5. Subscription Terms

5.1 Auto-Renewal

Paid subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. You can manage subscriptions through the Apple App Store (iOS) or Google Play Store (Android).

5.2 Pricing Changes

We reserve the right to modify subscription pricing with 30 days' advance notice. Price changes will not affect existing subscribers until their next renewal.

5.3 Refunds

Refunds are handled by Apple (iOS) or Google (Android) according to their respective refund policies. Contact Apple Support or Google Play Support for refund requests.

6. Acceptable Use

6.1 Prohibited Conduct

You agree NOT to:

• Use the App for any illegal purpose or violate any laws
• Abuse, harass, threaten, or harm others
• Reverse engineer, decompile, or attempt to extract source code
• Circumvent usage limits or quotas
• Use automated systems or bots to access the service
• Interfere with or disrupt the App's functionality
• Impersonate others or provide false information
• Resell or redistribute the App or service

6.2 Consequences of Violation

Violation of these Terms may result in immediate suspension or termination of your account without refund.

7. Intellectual Property

7.1 Our Property

Our apps, including their design, code, trademarks, logos, and content, are owned by Quantiya LLC and protected by intellectual property laws.

7.2 Your Content

You retain ownership of the content you create and send. By using our apps, you grant us a limited license to store, process, and deliver your content as necessary to provide the service.

8. Privacy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information.

9. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• UNINTERRUPTED OR ERROR-FREE OPERATION
• ACCURACY OR RELIABILITY OF AI-GENERATED CONTENT
• SECURITY OR FREEDOM FROM VIRUSES

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTIYA LLC SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, LOSS OF PROFITS, DATA, OR USE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify, defend, and hold harmless Quantiya LLC from any claims, liabilities, damages, losses, or expenses arising from your use of our apps, your violation of these Terms, or your violation of any rights of third parties.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms are governed by the laws of the State of Washington, United States.

12.2 Arbitration

Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except you may bring claims in small claims court if they qualify.

12.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis, and you waive the right to participate in class actions.

13. Miscellaneous

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Quantiya LLC. If any provision is found invalid, the remaining provisions remain in effect. Our failure to enforce any right does not constitute a waiver.
