1. Acceptance of Terms

By downloading, installing, or using the Quantiya Translate mobile application (the "App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

These Terms constitute a legally binding agreement between you and Quantiya LLC ("Quantiya," "we," "our," or "us").

2. Description of Service

Quantiya Translate is a peer-to-peer real-time translation application that enables conversations between users speaking different languages. The App provides:

• Speech-to-text recognition
• Text translation via AI-powered services
• Text-to-speech playback
• Peer-to-peer device connectivity
• Subscription-based usage tiers

3. Eligibility

The App is rated 4+ and is suitable for all ages. However, parental consent is required for children under 13 years of age in compliance with the Children's Online Privacy Protection Act (COPPA).

For users under 13: A parent or legal guardian must agree to these Terms on your behalf and supervise your use of the App.

For users 13-17: You may use the App independently, but we recommend parental guidance.

By using the App (or allowing your child to use the App), you represent and warrant that:

• If you are a parent/guardian of a child under 13, you consent to your child's use of the App and agree to these Terms on their behalf
• You have the authority to enter into these Terms
• You will comply with all applicable laws and regulations

4. Account Registration

4.1 Account Creation

To use the App, you must create an account by signing in with Apple Sign In or Google Sign In. You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized use
• Accept responsibility for all activities under your account

4.2 Account Deletion

You may delete your account at any time through the App settings. Upon deletion:

• Your account is soft-deleted for 30 days to prevent abuse
• Usage history is preserved to prevent quota gaming
• After 30 days, personal information is permanently deleted (except subscription records retained for legal compliance)

5. Subscriptions and Payments

5.1 Subscription Tiers

The App offers both free and paid subscription tiers with auto-renewable subscriptions:

Paid subscriptions automatically renew unless canceled at least 24 hours before the end of the current billing period. You can manage subscriptions through the Apple App Store.

5.3 Pricing Changes

We reserve the right to modify subscription pricing with 30 days' advance notice. Price changes will not affect existing subscribers until their next renewal.

5.4 Refunds

Refunds are handled by Apple according to their refund policy. We do not directly process refunds. Contact Apple Support for refund requests.

5.5 Upgrades and Downgrades

• Upgrades: Take effect immediately with prorated charges
• Downgrades: Take effect at the next billing cycle to preserve your paid benefits

6. Acceptable Use

6.1 Permitted Use

You may use the App for lawful purposes to facilitate real-time translation conversations.

6.2 Prohibited Conduct

You agree NOT to:

• Use the App for any illegal purpose or violate any laws
• Abuse, harass, threaten, or harm others
• Transmit hate speech, obscene, or offensive content
• Reverse engineer, decompile, or attempt to extract source code
• Circumvent usage limits or quotas
• Use automated systems or bots to access the service
• Interfere with or disrupt the App's functionality
• Impersonate others or provide false information
• Collect or harvest user information without consent
• Resell or redistribute the App or service

6.3 Consequences of Violation

Violation of these Terms may result in:

• Immediate suspension or termination of your account
• Loss of access to the App without refund
• Legal action if applicable

8.1 Our Property

The App, including its design, code, trademarks, logos, and content, is owned by Quantiya LLC and protected by copyright, trademark, and other intellectual property laws.

8.2 Your Content

You retain ownership of the content you speak during translations. By using the App, you grant us a limited license to:

• Process your speech for translation purposes
• Cache translations temporarily to improve performance
• Use aggregated, anonymized data for service improvement

8.3 Third-Party Services

The App uses OpenAI's services for translation. OpenAI's terms and policies apply to their processing of translation text.

9. Privacy

Your privacy is important to us. Please review our Privacy Policy, which explains how we collect, use, and protect your information.

By using the App, you consent to our collection and use of your information as described in the Privacy Policy.

10. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• NON-INFRINGEMENT
• UNINTERRUPTED OR ERROR-FREE OPERATION
• ACCURACY OR RELIABILITY OF TRANSLATIONS
• SECURITY OR FREEDOM FROM VIRUSES

WE DO NOT WARRANT THAT THE APP WILL MEET YOUR REQUIREMENTS OR THAT ANY DEFECTS WILL BE CORRECTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, QUANTIYA LLC SHALL NOT BE LIABLE FOR:

• INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• LOSS OF PROFITS, DATA, OR USE
• DAMAGES ARISING FROM TRANSLATION ERRORS OR INACCURACIES
• DAMAGES ARISING FROM SERVICE INTERRUPTIONS OR UNAVAILABILITY
• DAMAGES RESULTING FROM THIRD-PARTY CONDUCT OR CONTENT

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100 USD, WHICHEVER IS GREATER.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability, so these limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Quantiya LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including legal fees) arising from:

• Your use of the App
• Your violation of these Terms
• Your violation of any rights of third parties
• Any content you transmit through the App

13. Modifications to the Service

We reserve the right to:

• Modify, suspend, or discontinue the App at any time
• Change features, functionality, or subscription tiers
• Update these Terms with notice to users

We will provide reasonable notice of material changes through the App or via email.

14. Termination

14.1 By You

You may stop using the App and delete your account at any time.

14.2 By Us

We may terminate or suspend your access immediately, without notice, for:

• Violation of these Terms
• Fraudulent or illegal activity
• Abuse of the service
• Non-payment of subscription fees

14.3 Effect of Termination

Upon termination:

• Your right to use the App ceases immediately
• No refunds for unused subscription time (unless required by law)
• Provisions that should survive termination will remain in effect (e.g., indemnification, limitation of liability)

15. Governing Law and Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of the State of Washington, United States, without regard to conflict of law principles.

15.2 Arbitration

Any disputes arising from these Terms or the App shall be resolved through binding arbitration in accordance with the American Arbitration Association's rules, except:

• You may bring claims in small claims court if they qualify
• Either party may seek injunctive relief in court for intellectual property violations

15.3 Class Action Waiver

You agree that disputes will be resolved on an individual basis, and you waive the right to participate in class actions or class arbitrations.

16. Miscellaneous

16.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Quantiya LLC.

16.2 Severability

If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in effect.

16.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

16.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations to any party.

16.5 Force Majeure

We are not liable for delays or failures due to causes beyond our reasonable control (e.g., natural disasters, wars, pandemics, internet failures).
